Terms of Service

• Acceptance of Terms of Use. Jayna’s All Naturals, LLC, an Arizona limited liability company, dba JAN Products (“JAN”) provides its online services, health content, and Web Site to you, the User, subject to this Terms of Service Agreement (“TOS”). Jan may update this Agreement by posting the updated TOS to this Web Site. Any changes in updating this TOS will not apply to any dispute between you and us arising prior to the date on which we posted the updated TOS, or otherwise notified you of such updated Agreement. The last updated version indicates when this TOS was last changed. JAN reserves the right to alter the TOS at any time without notice to User. By using the JAN web site, located at or within http://www.jansproducts.com or any derivation, portion, or page of this web site (collectively, the “Site” or “Web Site” or “Website”), User agrees to abide by this TOS Agreement.

• Online Services and Disclaimer of Warranty. The JAN web site provides online resources including, but not limited to, online information regarding JAN’s products, services, goods, and related information (together with the Web Site, collectively, the “Service”). JAN will attempt to keep the Service timely and accurate, but makes no guarantees and disclaim any implied warranty or representation about the Services accuracy, relevance, completeness, timeliness, reliability, appropriateness, or security for a particular purpose. Any new services, resources or informational content added to the web site shall fall under the terms of this TOS Agreement. The online resources, informational content, Web Site, Service, products, merchandise, materials, functionality, and any other resource or information available on or accessible through the Service is provided “AS IS” WITHOUT WARRANTY OF ANY KIND, AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF INFORMATIONAL CONTENT, OR NON-INFRINGEMENT. JAYNA’S ALL NATURALS, LLC DBA JAN PRODUCTS’ MAXIMUM LIABILITY FOR ANY INACCURATE INFORMATION OR SOFTWARE AND YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY CAUSE WHATSOEVER, SHALL BE LIMITED TO THE AMOUNT PAID BY YOU FOR THE INFORMATION RECEIVED (IF ANY). JAYNA’S ALL NATURALS, LLC DBA JAN PRODUCTS IS NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, LOSS OF BUSINESS, LOSS OF PROFITS OR CONSEQUENTIAL DAMAGES, WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT, NEGLIGENCE, PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. User is fully responsible for maintaining its computer equipment and Internet access to use the JAN web site. JAN does not make any representation or warranty that the quality of any goods, services, information, or other materials purchased or obtained through the Service will meet your expectations. JAN does not make any representation or warranty that any password protection or other security measures that you may use or allow others to use in connection with the Service will prevent unauthorized access or misuse by any other party.

• Registration. Certain areas of the JAN web site are provided solely to registered Users of the web site. Any User registering for such services agrees to provide true and accurate information during the registration process. JAN reserves the right to terminate the access of such Users should JAN know, or have reasonable grounds to suspect, that a User has entered false or misleading information during the registration process. ALL REGISTERED USERS MUST BE OF LEGAL AGE TO REGISTER. Children under the age of 18 shall not be permitted to register unless under the strict supervision of a legal guardian. JAN reserves the right to require valid credit card information as proof of legal age. JAN maintains a strict online Privacy Policy and will not sell or give your information to other parties.

• User account. Users will select a username and password upon completing the registration process. Users are fully responsible for maintaining the confidentiality of their username and password. User agrees to immediately notify JAN in writing should User know, or have reasonable grounds to suspect, that the username and password have been compromised. JAN shall not be responsible for User’s failure to abide by this Paragraph.
• Informational content supplied by Users. User understands that all information, computer files, software, graphics, sound files, and text, whether publicly displayed by User on the JAN web site, or privately transmitted through the JAN web site, are the responsibility of the User from which such informational content has originated. User is fully responsible for any and all informational content that user uploads, posts, e-mails, or transmits using the JAN web site. JAN does not and cannot control the informational content Users transmit through the JAN web site. Under no circumstances shall JAN be held liable for User’s exposure to informational content that User deems offensive, indecent or objectionable. Under no circumstances shall JAN be held liable for any errors or omissions in any informational content transmitted by Users.

• User conduct. User agrees to not use the JAN web site to:
  • upload, post, or transmit any informational content that is unlawful, threatens another person or entity, defamatory, vulgar, obscene, libelous, invades the privacy of another, or is otherwise objectionable;
  • harm legal minors;
  • collect personal information on, “cyberstalk” or harass another User, or engage in conduct that negatively affects the online experience of another User;
  • impersonate another User, person, or entity, including any official or employee of JAN;
  • intentionally or unintentionally violate any local, state, or federal law, including violations of the Copyright Act;
  • upload, post or transmit any software or files that contain software viruses or other harmful computer code;
  • interfere with the operation of JAN’s web servers or other computers or Internet or network connections;
  • upload, post or transmit any informational content that is the copyrighted, patented or trademarked intellectual property of another, or the trade secret of or confidential information of another;
  • upload, post or transmit and unsolicited or unauthorized advertising, including “spam” or “junk mail.”

• JAN does not pre-screen uploaded, posted or transmitted content, but JAN reserves the right to inspect, edit and delete any content that JAN’s knows, or has reason to know, has violated this TOS Agreement. JAN reserves the right to immediately, and without notice, terminate the account of any User found to have violated the provisions of this TOS Agreement. JAN may disclose any informational content Users post, upload or transmit to the JAN web site, if such disclosure is necessary to enforce this TOS Agreement, to respond to claims of intellectual property infringement, to comply with legal process, or to protect the rights of JAN, the public, or other Users.

• Content submitted by Users. JAN does not claim ownership of any informational content submitted by Users to the JAN web site. User grants JAN a non-exclusive, royalty free license to use, distribute, reproduce, modify, and publicly display any informational content submitted to the JAN web site. This license exists only so long as User allows its content to remain on the JAN web site and will terminate in the event that User removes such content.

• Indemnity. You agree to indemnify and hold JAN, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of content you submit, post, transmit or make available through the Service, your use of the Service, your connection to the Service, your violation of the TOS, or your violation of any rights of another.

• No resale. User agrees not to reproduce, copy, duplicate, or sell any portion of the JAN web site.

• Limits and modifications. JAN may establish without notice limits on the use of its Web Site, including the maximum number of times Users may post to or participate in the online communities, or to the number of times Users may access the JAN web site. JAN reserves the right to modify any and all portions of the JAN web site without notice. Under no circumstances shall JAN be liable to User or any other party for such limits or modifications.

• Termination of User account. JAN may, at its sole discretion, terminate the User’s account for any reason. Under no circumstances shall JAN be liable to User or any other party for such termination of User’s account.

• Third party advertisers. JAN may allow third party advertisers to advertise on the JAN web site. JAN takes no responsibility for User’s dealings with, including any online or other purchases from, any third-party advertisers. JAN shall not be liable for any loss or damage incurred by User in its dealings with third party advertisers.

• Information and Content. Any content contained on this Web Site, including health information and content, shall not in any event be construed as specific instructions for individual persons. Content may contain links to, or otherwise make available, third-party sites, services, products, information, content, materials, merchandise, functionality, or other resources. These links and access are provided for your convenience and reference only. JAN does not control such Third-Party Resources and, therefore, we are not responsible for any such resources or any content posted on or made available by such third-party sites. Take notice that JAN does not control, does not make any guarantees, and disclaims any express or implied representations or warranties about any such third-party sites or information contained on or via such sites including but not limited to the security of use, accuracy, relevance, completeness, timeliness, or appropriateness of such information or site. • Products or Services. Certain products or services may be available exclusively online through this Web Site. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy. We have made every effort to display as accurately as possible the colors and images of our products. We cannot guarantee that your computer monitor / display of any color will be accurate. We reserve the right, but are not obligated, to limit the sales of our products or services to any person, geographic region, or jurisdiction. We exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or service that we offer. All descriptions of products or product pricing are subject to change at any time without notice at the sole discretion of JAN. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.

• Billing and Account Information. JAN reserves the right to refuse an order you place. JAN may, in its sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that JAN makes a change to or cancel an order, JAN may attempt to notify you by contacting the e-mail and/or billing address and/or phone number provided at the time the order was made. Jan reserves the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors. In the event that your e-mail, telephone, billing, or other account information changes, please update your account and related information including credit card information and expiration dates so that JAN can complete your transactions and contact you as needed.

• JAN’s intellectual property rights. User agrees not to distribute, license, or create derivative works from any of JAN’s copyrighted or trademarked material available on the JAN web site.

• No warranties. THE INFORMATION CONTAINED ON THE WEBSITE AND THE SERVICE (CONTAINING ONLINE RESOURCES INCLUDING BUT NOT LIMITED TO INFORMATION REGARDING JAN’S PRODUCTS, SERVICES, GOODS, AND RELATED INFORMATION PROVIDED ON THIS WEB SITE) ARE PROVIDED “AS IS” AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF INFORMATIONAL CONTENT, OR NON-INFRINGEMENT.

• Limitation of liability. JAYNA’S ALL NATURALS, LLC DBA JAN PRODUCTS', ANY OF ITS SUPPLIERS, ANY OF ITS VENDORS, OR ITS OR THEIR RESPECTIVE OFFICERS, DIRECTORS, AGENTS, EMPLOYEES, AFFILIATES, SUPPLIERS, VENDORS, LICENSORS, CO-BRANDERS, OR PARTNERS’ MAXIMUM LIABILITY FOR ANY INACCURATE INFORMATION AND YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY CAUSE WHATSOEVER, SHALL BE LIMITED TO THE AMOUNT PAID BY YOU FOR THE INFORMATION RECEIVED (IF ANY). • You acknowledge and agree that the limitations set forth above are essential and intricate elements of this TOS and the Service would not be provided to you absent such limitations.

• Notice. Notices may be posted to the JAN web site or e-mailed to Users using the e-mail address Users submitted during the registration process.

• General. This TOS constitutes the entire agreement between you and JAN and governs your use of the JAN web site. This TOS, the use of the Web Site, the Service, and any disputes arising out of the same, on an individual basis without any class action, shall be governed by, construed by, and enforced by the laws of the State of Arizona. User agrees to submit to the personal and exclusive jurisdiction of the courts located within the county of Maricopa in the State of Arizona. The failure of JAN to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of this TOS Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the TOS Agreement remain in full force and effect. Any claim arising under the terms of this TOS Agreement must be brought within one (1) year after such claim or cause of action arose or be forever barred.
